What Is an Annual Statement / Annual Report?

Most Michigan entities—especially LLCs and corporations—must file a simple informational report with the state each year. In Michigan this is generally called an annual statement (or annual report in some materials).

The purpose is to:

  • Confirm or update your business name
  • Confirm your resident (registered) agent and registered office
  • Confirm your principal office or mailing address
  • Keep your entity in good standing with LARA
     

This is separate from:

  • Any tax returns you file with the IRS or the State of Michigan
  • Internal financial statements or owner/shareholder reports
     

It’s strictly about keeping your state records current.


What Information Does a Michigan Annual Statement Require?

Exact fields can vary by entity type, but typically you’ll need:

  • Legal business name (as registered with Michigan)
  • Entity ID number (from LARA)
  • Resident/registered agent name and Michigan street address
  • Registered office (physical MI address, no P.O. box)
  • Principal office or mailing address
  • Sometimes names/addresses of officers, directors, members, or managers (especially for corporations)
     

In most cases, the information requested is similar to what you provided when you first filed your Articles of Organization (LLC) or Articles of Incorporation (corporation).

How Do I File a Michigan Annual Statement?

1. Determine Your Due Date

For Michigan entities, due dates are tied to both entity type and formation date. In general:

  • Michigan LLCs: Annual statements are often due February 15 each year for most entities, with special rules for those formed late in the year.
     
  • Michigan corporations: Annual reports are typically due May 15, with specific rules set out by LARA.
     

You’ll receive notice at your resident/registered agent address if you’re in good standing—but if addresses are outdated or mail is missed, you may not see those reminders.

2. File Online or By Mail

Most Michigan business owners file their annual statements online through the Michigan business filing portal. You’ll typically need:

  • Your entity ID
  • The required information (agent, address, etc.)
  • A payment method for the state fee (for LLCs, usually $25; corporations have their own fee schedules)
     

You can also file via paper form in many cases, but online filing is faster and easier to track.


3. Pay the State Fee

The state charges a filing fee for annual statements (for example, $25 for most LLCs). This is paid directly to the State of Michigan.
